THRD Host Agreement

Version: 1.0Effective Date: September 28, 2026Last Updated: September 28, 2026

This Host Agreement ("Agreement") governs your use of THRD as a host, organizer, creator, business, organization, or other person or entity that creates, promotes, or publishes experiences through THRD.

By selecting "I have read and agree to the THRD Host Agreement" during Host onboarding, you acknowledge that you have read, understood, and agreed to this Agreement.

If you do not agree to this Agreement, you may continue using THRD as a discoverer but may not use THRD's Host features.

1. ABOUT THRD

THRD is a discovery platform designed to help people discover real-world experiences, events, activities, communities, and places.

THRD provides tools that may allow hosts to create profiles, publish experiences, share event information, connect with audiences, and participate in the THRD community.

THRD is a platform and discovery service. Unless expressly stated otherwise, THRD is not the organizer, producer, venue, instructor, performer, vendor, promoter, ticket seller, or operator of the experiences listed by hosts.

You are responsible for the experiences you create, promote, organize, or operate.

2. WHO IS A HOST?

A "Host" is any person, business, organization, collective, creator, organizer, practitioner, venue, or other entity that uses THRD Host features to create, publish, manage, or promote an experience.

You may use THRD as a Host if you complete the required Host onboarding process and agree to this Agreement.

THRD does not require every Host or experience to undergo manual review before being published.

Completion of Host onboarding does not mean that THRD has verified, endorsed, or guaranteed you or your experiences.

3. HOST ACCOUNT INFORMATION

You agree to provide information that is accurate, current, and not misleading. This may include your name, business or organization name, email, phone number, city, website, social media, experience information, ticketing or registration information, and other information reasonably required to operate or support your Host account.

You agree to update your information when material details change. You must not impersonate another person, business, organization, or brand. You must not create a Host account using information that you do not have permission to use.

4. AUTHORITY TO ACT

By becoming a Host, you represent that:

  • You are legally able to enter into this Agreement.
  • The information you provide to THRD is accurate to the best of your knowledge.
  • You have the authority to submit and promote the experiences you list.
  • If you represent a business, organization, venue, collective, or another person, you have appropriate authority to act on its behalf.
  • You will not knowingly submit experiences that belong to another person or organization without authorization.

5. PUBLISHING EXPERIENCES

Hosts may create and publish experiences through THRD after completing Host onboarding. THRD does not require every experience to receive manual approval before publication.

However, publication on THRD does not mean that an experience has been reviewed, vetted, verified, endorsed, or guaranteed by THRD.

You remain responsible for the accuracy, legality, operation, and delivery of every experience you publish.

6. ACCURACY OF EXPERIENCE INFORMATION

You agree that information published on THRD should be accurate and reasonably complete. This includes, where applicable: experience name, date, time, location, price, description, registration information, ticketing information, age restrictions, accessibility information, cancellation information, health or safety requirements, participation requirements, and relevant risks or restrictions.

You must promptly update information when material details change. You must not intentionally publish misleading or materially inaccurate information.

7. RESPONSIBILITY FOR YOUR EXPERIENCE

You are solely responsible for planning, organizing, operating, staffing, promoting, and delivering your experience unless otherwise agreed in writing.

You are responsible for determining and complying with the laws, regulations, permits, licenses, certifications, insurance requirements, venue requirements, and professional obligations that apply to your activities.

THRD does not determine which licenses, permits, certifications, insurance policies, or other legal requirements apply to your particular experience. You are responsible for obtaining any requirements that apply to you.

8. SAFETY

Hosts must take reasonable steps to provide experiences in a manner consistent with applicable safety requirements and laws. Depending on the nature of an experience, this may include appropriate safety procedures, qualified personnel, certifications, licenses, permits, insurance, equipment, emergency procedures, participant instructions, age restrictions, and health or participation requirements.

THRD may request additional information or documentation when reasonably necessary to understand or address safety concerns.

THRD does not guarantee that an experience is safe simply because it appears on the platform or receives a THRD Vetted designation.

9. HIGHER-RISK EXPERIENCES

Certain experiences may involve increased physical, legal, health, or safety risks. Examples may include extreme physical activities, contact sports, water activities, activities involving significant physical risk, weapons, controlled substances, regulated activities, or other experiences requiring specialized qualifications.

THRD may request additional information, documentation, or evidence for these experiences. THRD may also restrict, remove, or decline to promote an experience where it reasonably determines that additional safeguards are necessary.

10. LEGAL COMPLIANCE

You are responsible for complying with all laws and regulations applicable to your activities. This may include requirements relating to business operations, consumer protection, health and safety, food handling, alcohol, employment, accessibility, insurance, permits, licensing, intellectual property, privacy, advertising, and tax obligations.

THRD does not provide legal, tax, insurance, regulatory, or professional advice.

11. THRD VETTED

THRD may designate certain experiences as ★ THRD Vetted. The THRD Vetted designation is a trust signal indicating that THRD has reviewed the applicable information using its trust framework. The framework may consider legitimacy, accuracy, relevance, quality, applicable safety considerations, and community fit.

THRD Vetted does not mean THRD guarantees the experience, endorses the Host, guarantees safety, guarantees quality, guarantees that information will remain accurate, or assumes responsibility for the experience.

A Host or experience does not need to be THRD Vetted in order to be published. THRD may remove or revoke a Vetted designation if circumstances change or information no longer supports the designation.

12. POPULARITY IS NOT VETTING

THRD does not represent that popularity, follower count, social media engagement, audience size, or brand recognition constitutes verification or quality. These factors do not independently determine whether an experience receives a THRD Vetted designation. THRD's trust framework focuses on relevant information and the applicable criteria rather than popularity alone.

13. REPORTS AND COMMUNITY SAFETY

THRD may allow community members to report Hosts or experiences. Reports may concern misleading information, an experience that does not exist, safety concerns, inappropriate content, fraud or scam concerns, material differences between an experience and its listing, host conduct, or other concerns.

A report does not automatically mean that a Host or experience has violated this Agreement. THRD may review reports and take action where appropriate.

14. MODERATION

THRD may take action when it reasonably believes that a Host or experience violates this Agreement, violates THRD's Terms & Conditions, contains materially misleading information, creates an unreasonable safety concern, involves unlawful activity, misuses the THRD platform, creates significant harm or risk to users or the community, repeatedly receives credible complaints, misuses intellectual property, or provides false information during onboarding or vetting.

Depending on the circumstances, THRD may request changes, request additional information, remove an experience, remove a THRD Vetted designation, restrict Host features, suspend an account, or remove a Host from THRD.

THRD may take immediate action when reasonably necessary to address serious safety, legal, fraud, or platform integrity concerns.

15. NO GUARANTEE OF PLATFORM ACCESS

THRD does not guarantee that your experience will receive a certain amount of visibility, bookings or attendees, appear in a particular position, or be promoted. THRD does not guarantee that your account will remain active indefinitely or that users will attend your experience. THRD may change platform features, discovery systems, recommendation systems, or availability over time.

16. CONTENT YOU SUBMIT

You retain ownership of the original content you create and submit to THRD, subject to any separate agreements that apply. By submitting content to THRD, including photos, videos, descriptions, logos, artwork, event information, and promotional materials, you grant THRD a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format, distribute, and promote that content as reasonably necessary to operate, market, improve, and promote THRD and your listed experiences.

This licence does not transfer ownership of your underlying intellectual property to THRD. You represent that you have the rights or permissions necessary to submit the content.

17. THIRD-PARTY CONTENT

You must not upload or publish content that infringes another person's rights, including copyright, trademark, privacy rights, personality/publicity rights, confidentiality obligations, or other intellectual property rights. If you receive a legitimate complaint regarding content you submitted, THRD may temporarily restrict or remove the content while the issue is addressed.

18. USE OF THIRD-PARTY SERVICES

THRD may integrate with third-party services such as ticketing, registration, payment, mapping, social media, calendar, communication, or other technology platforms. Your use of those services may be subject to their own terms and policies. THRD is not responsible for the independent operation, availability, policies, or conduct of third-party services.

19. TRANSACTIONS AND PAYMENTS

Unless expressly stated otherwise, THRD is not the seller or operator of the experiences listed by Hosts. If a transaction occurs through a third-party ticketing or payment provider, that transaction may be governed by the provider's terms.

Hosts are responsible for clearly communicating their own prices, fees, refund policies, cancellation policies, and registration requirements. Nothing in this Agreement creates an obligation for THRD to process payments or ticket sales on your behalf unless separately agreed.

20. CANCELLATIONS AND CHANGES

Hosts are responsible for communicating material changes to their experiences. If you cancel, postpone, relocate, significantly modify, or otherwise change an experience, you should update the THRD listing promptly and communicate the change to affected participants where appropriate.

21. USER RELATIONSHIPS

Hosts are responsible for their interactions with participants and customers. THRD does not become a party to the relationship between a Host and a participant simply because the participant discovered the experience through THRD. Hosts must treat participants fairly and comply with applicable laws.

22. INDEPENDENT HOST

You are an independent Host. Nothing in this Agreement creates an employment relationship, partnership, joint venture, agency relationship, franchise relationship, or fiduciary relationship between you and THRD. You do not have authority to represent that THRD is organizing, operating, sponsoring, guaranteeing, or endorsing your experience unless THRD has expressly agreed to this in writing.

23. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless THRD and its owners, operators, employees, contractors, and representatives from third-party claims, losses, damages, liabilities, costs, and reasonable expenses arising from your experience, your conduct, your violation of this Agreement, your violation of applicable law, your infringement of another person's rights, your content, or your failure to obtain required permits, licenses, certifications, or insurance.

This section does not require you to indemnify THRD for THRD's own liability to the extent such liability cannot legally be excluded or limited.

24. LIMITATION OF LIABILITY

To the extent permitted by applicable law, THRD is not responsible for losses arising from the conduct of a Host, the conduct of a participant, the quality or safety of an experience, cancellation or postponement of an experience, loss, theft, or damage occurring during an experience, incorrect information supplied by a Host, third-party services, or events outside THRD's reasonable control.

Nothing in this Agreement excludes or limits liability where doing so would be prohibited by applicable law.

25. SUSPENSION OR REMOVAL

THRD may suspend or remove a Host account where appropriate. Examples may include serious or repeated violations, fraudulent activity, materially false information, serious safety concerns, illegal activity, repeated misleading listings, abuse of users or the platform, intellectual property violations, or failure to provide requested information where reasonably necessary.

Where appropriate, THRD may provide notice and an opportunity to address the issue. THRD may act without prior notice where immediate action is reasonably necessary.

26. EFFECT OF REMOVAL

If your Host account is suspended or removed, you may lose access to Host features, your experiences may be removed or made unavailable, your THRD Vetted designations may be removed, and certain information may be retained where necessary for legal, safety, fraud-prevention, dispute-resolution, or legitimate business purposes.

Removal does not erase historical records that THRD is required or reasonably entitled to retain.

27. PRIVACY

THRD may collect and use information provided through Host onboarding and platform use in accordance with its Privacy Policy. This may include information necessary to create and maintain your Host account, operate the platform, communicate with you, support trust and safety, investigate reports, prevent fraud, maintain platform security, administer agreements, and comply with legal obligations.

THRD will handle personal information in accordance with its applicable privacy obligations and Privacy Policy. Canadian privacy guidance emphasizes meaningful consent and identifying the purposes of collection, use, and disclosure.

28. CONFIDENTIAL INFORMATION

If THRD provides you with confidential information that is not publicly available, you agree not to disclose or misuse that information except as authorized. This does not apply to information that is publicly available, you already lawfully possessed, becomes publicly available through no fault of your own, or you are legally required to disclose.

29. CHANGES TO THIS AGREEMENT

THRD may update this Agreement from time to time. Each version will have a version number, effective date, and last updated date. THRD will maintain historical versions for recordkeeping.

If THRD determines that a material change requires renewed acceptance, Hosts may be required to accept the updated Agreement before continuing to use affected Host features. Previous acceptance records will not be overwritten.

30. ELECTRONIC ACCEPTANCE

You agree that your electronic acceptance of this Agreement through THRD constitutes your agreement to these terms. THRD will maintain a record of the version of the Agreement you accepted and the date and time of acceptance. Ontario law generally recognizes electronic information, electronic documents, and electronic signatures in commercial transactions, subject to applicable requirements and exceptions.

31. GOVERNING LAW

This Agreement is governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict-of-law principles. Any dispute will be subject to the applicable courts and laws governing the relationship between you and THRD.

32. SEVERABILITY

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.

33. ENTIRE AGREEMENT

This Agreement, together with THRD's Terms & Conditions, Privacy Policy, and any additional terms specifically applicable to a Host or experience, forms the agreement governing your use of THRD Host features. If there is a conflict between documents, the applicable document will govern according to its subject matter and any stated order of precedence.

34. ACKNOWLEDGEMENT

By accepting this Agreement, you acknowledge that you have read and agree to the THRD Host Agreement, and you confirm that the information you have provided is accurate and that you have the authority to submit the experiences listed under this Host account.

You understand that you are responsible for your experiences, that publishing on THRD does not mean THRD has vetted or endorsed your experience, that THRD may use a THRD Vetted designation to communicate that an experience has undergone THRD's applicable review process, that THRD may request information or documentation when reasonably necessary, and that THRD may remove, suspend, or restrict content or accounts where appropriate.
